Agreement
These Terms of Service are a binding agreement between you and Structure OS, LLC, Ltd. (“Structure OS,” “we,” “us”), a Wyoming limited liability company with operations in Las Vegas, Nevada, which owns and operates AuthorSuite, including ASI Creative, ASI Industry and ASI Pro. By creating an account, buying an evaluation or plan, or otherwise using authorsuite.online, you agree to these terms and to our Privacy Policy. If you don't agree, don't use AuthorSuite.
Key points. Your account is for you alone; never share it or your password. Consumer plans are for your own work only. Business accounts may not resell AuthorSuite. Fees are non-refundable and never prorated. Violations can lead to immediate suspension or termination, without refund, and you may be liable for the harm caused.
What AuthorSuite is
AuthorSuite is software for authors, screenwriters, podcasters, publishers, contests and professional readers. It evaluates manuscripts, screenplays, pilots and scripts, gives revision guidance, and helps creators develop, produce and market their work. We may add, change, limit or retire features at any time.
Accounts and passwords
You must be at least 18, or the age of majority where you live, and give us accurate, complete information.
- Your account and subscription are for your use only. You may not share, lend, sell or transfer your account, password, login link, access code or subscription to anyone else, or let anyone else use them.
- One person per login. Multiple people may not share a single account, and accounts may not be pooled.
- Keep your password and any API keys confidential. You're responsible for all activity and all charges under your account, whether or not you authorized them.
- Tell us right away at support@authorsuite.online if you believe your account has been used without your permission.
We may monitor usage patterns, such as simultaneous logins from different locations, to detect account sharing and misuse.
Consumer plans (ASI Creative and individual plans)
Consumer plans are licensed for your own creative work only. You may not:
- use AuthorSuite, or any of its features, reports or output, to provide services to other people or businesses, paid or free;
- run or offer an evaluation, critique, coverage, editing, coaching, query, marketing, audiobook, podcast, video or other service that AuthorSuite provides, using AuthorSuite to perform that work;
- list, advertise or describe AuthorSuite, or its features, as part of your own services or offerings;
- offer any service performed with AuthorSuite on freelance or service marketplaces (such as Upwork, Fiverr, Reedsy or similar platforms), on social media, on your own website or anywhere else;
- submit other people's work through your account on their behalf.
If you want to use AuthorSuite for clients or an organization, you need a business account. Contact info@authorsuite.online.
Business and professional accounts (ASI Industry and ASI Pro)
Business, professional and partner accounts (including publishers, contests, agencies, studios, schools and professional readers) may use AuthorSuite only for their own organization's internal work, such as evaluating submissions the organization receives. All of the following apply:
- No resale. You may not resell, sublicense, rent, white-label, rebrand or otherwise provide AuthorSuite, its features or access to it to any third party, or offer it as part of a service you sell. Reselling includes offering services performed with AuthorSuite on freelance or service marketplaces such as Upwork, Fiverr, Reedsy or similar platforms, on social media, or on any website.
- Authorized users only. Only individuals you properly appoint as authorized users (your employees or contracted readers working for your organization) may receive login details or use your account. Each authorized user must have their own login where we provide one, and credentials may not be shared.
- You are responsible for your authorized users. The account holder is fully responsible for every authorized user's conduct, compliance with these terms, usage and all charges they incur, including overages.
- Remove access immediately when someone leaves your organization or is no longer authorized, and tell us of any unauthorized use.
- Your contract or order with us may set additional terms. If it conflicts with these terms, the signed agreement controls.
Prohibited conduct
No matter which plan you have, you may not:
- use AuthorSuite for anything illegal, fraudulent or deceptive, or to infringe anyone's copyright, trademark, privacy or other rights;
- hack, break into, probe or test the vulnerability of AuthorSuite or our systems, or gain or attempt to gain unauthorized access to any account, system or data;
- bypass, disable, override or interfere with security, payment, usage limits, plan restrictions or access controls;
- manipulate or attempt to manipulate evaluations, scores or certificates, including by inserting hidden instructions or prompts into submitted work;
- copy, extract, reverse-engineer, decompile or attempt to discover our source code, prompts, scoring methods, rubrics or models;
- use bots, scrapers or automated tools to access AuthorSuite, except through features we provide for that purpose;
- use AuthorSuite or its output to build, train or improve a competing product or service;
- overload or disrupt the service, or upload viruses or harmful code;
- create unlawful, harassing, hateful or deceptive content, or impersonate any person or business;
- open multiple accounts to get around limits, suspensions or free offers;
- help or encourage anyone else to do any of these things.
Your work stays yours
You keep all rights to everything you submit: manuscripts, scripts, audio, images and notes. We claim no ownership of it.
You give us only the limited permission needed to process your work to provide the service you asked for, including sending it to the AI providers listed in our Privacy Policy. That permission ends when processing is done, except for the records described in the Privacy Policy. We don't publish your work, and we don't use it to train AI models. You confirm you have the right to submit what you upload, and that doing so doesn't infringe anyone else's rights.
Reports and output AuthorSuite produces for your own work are yours to use, including to share, quote and pitch with, subject to the plan restrictions above.
Evaluations are guidance
AuthorSuite evaluations and certificates are professional opinions to help you make decisions about your work. They are not a promise that your work will be accepted, published, produced, funded or commercially successful. Decisions about your work are yours to make.
Certificates
An AuthorSuite certificate reflects the evaluation of the version submitted, on the date issued. You may share it and display the AuthorSuite Certified seal with that work only. Don't alter a certificate, transfer it to other work, or use the seal on work that wasn't certified. We may revoke any certificate obtained through false information, manipulation or any violation of these terms. Anyone with the certificate number can check whether a certificate is valid at authorsuite.online/verify. Questions about an evaluation or a certificate go to certified@authorsuite.online.
Plans, payments and cancellation
- Prices are shown on our pricing page and at checkout. Payments are processed by Stripe. You authorize us to charge your payment method for all fees you incur.
- Monthly plans renew automatically each billing cycle until you cancel.
- Cancelling simply stops your next billing cycle. To avoid the next charge, cancel before your renewal date. Your plan stays active until the end of the period you've already paid for, then ends.
- All fees are non-refundable, and we don't prorate. This includes partial billing periods, unused evaluations, credits and features, and plan downgrades.
- Single evaluations and add-ons are charged when you buy them. If a plan includes a set number of evaluations and you go over it, the overage is charged as described at checkout.
- Unused evaluations and credits don't carry over unless your plan says they do, and they have no cash value.
- Disputing a valid charge with your bank instead of contacting us is a violation of these terms and will result in suspension of your account.
- If we change a plan's price, we'll tell you before the change applies to your next billing cycle.
Your own AI keys
If you add your own AI provider keys, requests made with your key are billed to you by that provider and are governed by your agreement with them. Keep your keys secure.
Suspension, termination and liability for violations
If we believe, in our reasonable judgment, that you or anyone using your account has violated these terms, misused AuthorSuite, acted illegally, or attempted to break into, override or interfere with the service, we may do any or all of the following, immediately and without prior notice:
- suspend or terminate your account, your authorized users' access and any related accounts;
- disqualify you from current and future plans, offers and programs;
- revoke certificates and cancel pending evaluations;
- forfeit any remaining plan time, evaluations or credits, without refund;
- charge your account for unauthorized use (for example, use by people who weren't authorized, or use beyond your plan) at our then-current list prices;
- report illegal activity to law enforcement and cooperate with them.
You are liable for all losses, damages, costs and fees, including reasonable attorneys' fees, that Structure OS suffers because of your violation, including violations by your authorized users. Our choosing not to act right away doesn't waive our right to act later.
Our software, methods and brand
AuthorSuite's software, design, prompts, scoring methods, rubrics, reports format, certificates and seal, and the names AuthorSuite, ASI Creative, ASI Industry, ASI Pro and Structure OS belong to Structure OS, LLC, Ltd. and are protected by intellectual property laws. These terms give you a limited, personal, non-exclusive, non-transferable, revocable right to use the service under your plan, and nothing more. You may not use our names or logos to suggest a partnership or endorsement without our written permission. If you send us feedback or ideas, we may use them without obligation to you.
Other services
AuthorSuite connects to services run by others, including AI providers, Stripe and email. Their availability and terms are outside our control, and we aren't responsible for them.
Disclaimers
AuthorSuite is provided “as is” and “as available.” AI-generated output can contain mistakes, so review it before you rely on it. We don't promise the service will be uninterrupted or error-free. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
Limitation of liability
To the extent the law allows, Structure OS, its owners, managers and contractors will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or opportunities. Our total liability for any claim relating to AuthorSuite is limited to the amount you paid us in the 3 months before the claim arose. Some places don't allow these limits, so they may not fully apply to you.
Indemnification
You agree to defend, indemnify and hold harmless Structure OS, LLC, Ltd. and its owners, managers and contractors from any claims, damages, losses and costs (including reasonable attorneys' fees) arising from your use of AuthorSuite, content you submit, your violation of these terms or anyone's rights, or the conduct of your authorized users.
Closing your account
You can close your account at any time by cancelling your plan and emailing support@authorsuite.online. We may also end access if we stop offering the service, with reasonable notice where we can. Sections that by their nature should continue (including fees owed, ownership, enforcement, disclaimers, limits of liability and indemnification) survive after your account ends.
Governing law and disputes
These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Before filing any claim, you agree to contact us so we can try to resolve it informally. Any claim must be brought in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction. Claims may be brought only on an individual basis, not as part of a class or representative action, to the extent the law allows. Nothing here takes away rights you have under consumer protection laws where you live.
General
These terms, our Privacy Policy and any signed agreement or order with us are the entire agreement about AuthorSuite. If any part is found unenforceable, the rest stays in effect. You may not transfer your rights under these terms; we may transfer ours, for example in a merger or sale. We aren't responsible for delays or failures caused by events beyond our reasonable control. You agree to receive notices from us electronically, by email or on this site.
Changes to these terms
We may update these terms as AuthorSuite changes. We'll update the date at the top of this page and, for significant changes, notify account holders by email before they take effect. Continuing to use AuthorSuite after that means you accept the updated terms.
